In event of liquidation, dis- solution, or winding up, Class A stock entitled to all unpaid cumulative dividends, and to share in remaining assets equally with common stock, provided, however, that, if common stock, in addition to 1,000,000 shares outstanding, has been is- sued, Class A stock not to share in consideration received for such excess common stock; otherwise, in event of liquida- tion, dissolution, or winding up, Class A stock to share in one-half of assets of corporation; but, in no event, is Class A stock to receive more than $52.50 per share plus accrued dividends. Class A stock subject to call, in whole or in part, at $52.50 per share, plus unpaid accumulated dividends. Cor- poration to have the right to purchase any Class A stock in open market, or at private sale -------------------------- 6 Invention-Agreement whereunder inventor sells invention, after filing for, but before grant of, letters patent, on cash and royalty basis, to be paid after letters patent are issued, where- under royalty payments may be withheld, if inventor fails to stop infringement of patents ------------------------ 11 Invention-Agreement whereunder inventor transfers all right to obtain letters patent for invention outside of United States and Canada, for fifteen years, and like right as to machinery used in making invention, for consideration payable in yearly instalments, whereunder inventor agrees, for fifteen years, to sell purchaser such machines for export at specified price, and whereunder profit of inventor on machines sold is to be deducted from annual instalments of purchase price to be paid by purchaser ----------------------------------------- 15 Joint Venture-Agreement whereunder stockholder of corpora- tion agrees to obtain option to buy, or agreement to buy, all stock of co-stockholder, and to assign such agreement to other contracting party who agrees to perform such option, or agreement, and whereunder both agree to transfer their stocks to new corporation to be formed by them --------- 24
