Hanaa Mohamed Basik* Abstract This research article examines the legal dynamics in the United Kingdom surrounding the governance of private limited companies, focusing on the statutory contract created by the Articles of Association and the implications for shareholder and director rights under the Companies Act 2006. Through a detailed analysis of corporate constitution, shareholder entitlements, and director duties, this article investigates the unique contractual nature of the internal framework of a company. Furthermore, the article explores the division of powers between directors and shareholders, the procedural requirements for valid decision-making, and the remedies available for minority shareholders. With reference to case law precedents and statutory provisions, this article highlights the importance of maintaining fairness and accountability within a company.
