  The following is the edited transcript of a conference that con-
sidered the securities aspects of real estate syndications. The con-
ference was sponsored by the Loughran Institute of Georgetown
University Law Center, and was held in Washington, D.C., on
September 21, 1973.
  Mr. Hocker appeared on his own behalf, and not in his capacity
as associate director of the Division of Corporation Finance of the
Securities and Exchange Commission. The SEC, as a matter of

  Mr. Schwartz: Real estate lawyers have been learning in recent
years what securities lawyers have known all along: that 500 North
