1. Introduction
When the famous contract A-contract B principle was
enunciated by the Supreme Court of Canada in 1981 in Ron
Engineering,t it was roundly criticized by academics for its refor-
mulation of common law doctrine. Most of the legal literature
concerning the case has centered on the ostensibly harsh results
Ms Henley is a recent graduate of the University of Toronto's Faculty of Law. This article
was written in fulfillment of the requirements of the McCarthy Tdtrault summer
fellowship held by the author in the Summer of 1990. The author gratefully acknowledges
