Professor of Law and the Director of the Entrepreneurship Legal Clinic at the Univer-
sity of Pennsylvania Law School. Bernice Grant (bgrantl8@law.fordham.edu) is the
Senior Director of the Entrepreneurial Law Program at Fordham University School
of Law. The authors presented on this topic at the Transactional Clinical Conference
held at the University of Pennsylvania Law School on June 2, 2017. The authors are
