                           MINUTES OF THE BOARD OF DIRECTORS
                       THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                      December 8, 1998


              The meeting was convened by the President Costlow at 6:55 p.m., at the law
        offices of Arent Fox Kintner Plotkin & Kahn, 1050 Connecticut Avenue, NW,
        Washington, DC 20036. Present were: Sharon Goley, Tania Hanna, Nancy Long,
        Marjorie Reeder, Gloria R. Sulton, Vicky McEneney, and Michelle Gary. Also in
        attendance were Kathryn Ellis, Denise Wilson-Taylor and Pat Applebaum.

        MINUTES OF LAST MEETING: The minutes of the October 13, 1998, meeting were
        approved as corrected by the Secretary. (Item 1) The meeting scheduled for November
        10, 1998, was postponed because of an emergency in President Costlow's family. The
        rescheduled date, November 17, was cancelled for lack of a quorum.

        TREASURER'S REPORT: The Treasurer was unable to attend the meeting.
        Statements from Salomon Smith Barney, Charles Schwab and Charter Financial Group
        were circulated. (Item 2)

        OLD BUSINESS:

              1.    Budget 1998 - 1999 - The revised budget was tabled until the next
        meeting because of the Treasurer's unavailability.

              2.    Tax Accountant Retention - The Presidents of the WBAF and the WBA
        have approved the hiring of Michael Friedman to prepare tax returns and audit the
        books of both organizations. The costs for both organizations is $5600, and WBAF's
        portion is approximately $2600. (Item 3) The exact amount was on the proposal which
        the President inadvertently did not copy.

              Diane Fuchs, our tax counsel was unavailable to attend the meeting and any
        decision on whether to modify the Foundation's status or to change its audit schedule
        will be deferred until she is available to answer questions.

              3.    Grants Review Recommendations - President Costlow reported that the
        faxed vote on the PLEN grant was approved by the Board in the amount of $600.

              The President advised the Board that Judge Eaton submitted another grant
        request for the continuation of her study of women judges. The WBAF gave her a grant
        of $1,000 last fiscal year with the understanding that she would seek other grants to
        assist in this undertaking. Those efforts were unsuccessful. Judge Eaton reports that
        the grant from WBAF was spent on travel to a judicial conference and equipment
        purchase. The Board voted not to support her current request.
