             AMENDED MINUTES OF THE BOARD OF DIRECTORS 1
               THE WOMEN'S BAR ASSOCIATION FOUNDATION
                              September 8, 1998


      The meeting was convened by the President, Deborah Costlow, at the law
offices of Arent Fox Kintner Plotkin & Kahn, 1050 Connecticut Avenue, NW,
Washington, DC 20036. Present were: Juliana O'Reilly, Martha McQuade, Tania
Hanna, Nancy Long, Marjorie Reeder, Victoria McEneney and Michelle Gary.

MINUTES OF LAST MEETING: The minutes of the July 7,1998, meeting, recorded by
Juliana O'Reilly, were approved, as amended to correct the spelling of Tania Hanna's
name. (item 1)

TREASURER'S REPORT: There was no report from the Treasurer. The Board
reviewed the quarterly report from Charter Financial, for the period ended June 30,
1998. The report was unanimously accepted for filing. (item 2) President Costlow will
invite Susan Stewart to attend the next meeting of the Board.

OLD BUSINESS:

      1.    WBA/WBAF Lease - The final lease of the equipment for the WBA Office
has been completed and is to be executed on 9/9/98 by the presidents of the WBA and
the WBAF. The WBA will tender a check to cover two year's rental.

      2.    Comedy Night - Tania Hanna presented a final report on the Comedy
Night fundraiser. (Item 3) The net proceeds, after the deduction of $121 in
administrative expenses to the WBA was approved, total $8,964. The Board approved
a grant of 75% of the proceeds to the D. C. Rape Crisis Center. The remaining 25%
will be retained by the WBAF. This 75/25 split is consistent with how the Board has
handled such events in the past.

      3.    Budget 1998-1999 - There was no budget presented for consideration.

      4.    Tax Counsel Opinion re: Endowment Fund - Previous questions were
raised about any tax consequences based on how the Endowment Fund is established.
President Costlow, with the Board's concurrence, will attempt to obtain an opinion from
Diane Fuchs who has agreed to provide the WBAF with tax advice, pro bono.
