                    MINUTES OF THE BOARD OF DIRECTORS
                THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                    JUNE 9, 1998


       The meeting was convened by the President, Deborah Costlow, at the law offices of Arent
Fox Kintner Plotkin & Kahn, 1050 Connecticut Avenue, NW, Washington, DC 20036. Board
members present were: Sharon Goley, Tania Hanna, Deborah Israel, Nancy Long, Martha JP
Mcquade, Juliana OTeilly, Marjorie Reeder, Sandra Robinson, and Gloria R. Sulton. The
Women's Bar Association was represented by Vicky McEneney, President, and Michelle Gary,
President-Elect.

MINUTES:

       Minutes of the May 5, 1998 meeting were approved, as amended, to correct the spelling
of Leighann Lord's name. [Item 1]'
TREASURER'S REPORT:

       Sharon Goley submitted brokerage statements from Charles Schwab and Smith Barney
covering the account balances for the Foundation for the periods covering April 1-30 and May 1-
31, 1998. [Item 2] Sharon also submitted a letter from the Combined Federal Campaign
accepting the Foundation's application for including in the 1998 CFC of the National Capital
Area. Our designation number is 7470. [Item 3]

       Thanks to Sharon for completing and submitting the application on time.

OLD BUsNasS:

       1.    WBA/WBAF Lease - A proposed agreement between the Foundation and the
WBA for lease of certain equipment for use in the WBA office was submitted for approval. [Item
4] Vicky McEneney reported that the WBA Board had approved the lease. The Board reviewed
the terms but failed to approve the lease. The matter was tabled with directions for Presidents
Costlow and McEneney to confer and work out the terms relating to insurance on the property.

       2.    Comedy Night Report - Tania Hanna gave an oral report and distributed flyers
announcing the Comedy Night at the Improv, July 13, 1998, beginning at 6:30, to benefit the DC
Rape Crisis Center. [Item 5] The Foundation and the Community Projects Committee of the
