                         MINUTES OF THE

                   WOMEN'S BAR ASSOCIATION FOUNDATION

                      BOARD OF DIRECTORS MEETING

                      Tuesday, January 13, 1998


             Those present at the Meeting were: Deb Israel, Marjorie Reeder (via phone),
Nancy Long, Deborah Costlow (via phone), Martha JP McQuade, Gloria Sulton, Denise Wilson-
Taylor, Saundra Brown, WBA President, Vicki McEneney, WBA President-Elect, and Jackie
Pumpaly, Executive Director, and Tania Hanna, Co-Chair, Task Force on Diversity.

      I.     Approval of Minutes: The October 14, 1997 Minutes were approved as amended.
Amended Minutes shall be distributed to the Board.

      11.    Treasurer's Report: The adjustments to the WBAF's Permanent Fund were made,
as reflected in the attached report. Susan Stewart, the WBAFs investment advisor and former
WBAF member will report to the Board at the next meeting the status of the WBAF's Permanent
Fund account.

      III.   Old Business:

             a.    The Ryan White Youth Services Awards Presentation on December 1, 1997
was a great success. The event grossed approximately $100,000.00 with a net of approximately
$75,000.00. As in the past, the event captured a great deal of publicity for the WBAF.

             b.    The Audit and Tax Return is due on January 15, 1998.The Auditors from
Tate & Tyron indicate that the WBAF's Audit is presently in draft form but shall be in final form
and ready for submission by the January 15, 1998, deadline.

             c.    Susan Stewart and Sharon Goley shall present an investment policy prior
the WBAF at the February Board meeting.

             d.    Deborah Costlow and Saundra Brown agreed, at the request of Deborah
Israel to review the draft Lease Agreement between the WBAF and the WBA for the equipment,
and to make recommendations to the Board.

             e.    Saundra Brown reported that the WBA's 1998 Annual Awards Dinner is
scheduled to take place on Wednesday, May 13, 1998. The theme for the Dinner is Lifting As
We Climb: Champions of Community Service. Elizabeth Dole has been invited to be the
keynote speaker.
