                    MINUTES OF THE BOARD OF DIRECTORS
                 THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                 April 13, 1999


      The meeting was convened by the President, Deborah C. Costlow at the law offices
of Arent Fox Kintner Plotkin & Kahn, 1050 Connecticut Avenue, NW, Washington, DC
20036. Present were: Sharon Goley, Tania Hanna (via telephone to give Annual Dinner
report), Deborah Israel, Nancy Long, Gloria R. Sulton and Vicky McEneney.

MINUTES: The minutes of the January 12, 1999, meeting were approved, as corrected.
(Item 1) The minutes of the February 9, 1999, meeting, taken by Nancy Long (with my
thanks), were also approved with one correction. (Item 2).

TREASURER'S REPORT: The Treasurer, Sandra Robinson submitted a written report
with accompanying statements from Solomon Smith Barney (3/1-31/99) (Item 3A),
Charles Schwab (3/1-31/99) (Item 3B), and a Profit and Loss Statement prepared by
Jackie Pumpaly (Feb. - Apr. 1999) (Item 3C). With the Solomon Smith Barney account
now operational, the Charles Schwab account will be closed after all outstanding checks
have cleared.

      President Costlow related that the logistics of getting checks signed and
transmitted to the WBA had not been completely resolved, but further efforts will be made
to alleviate any delay in getting bills paid.

OLD BUSINESS:

      1.    Tax Filing - The Treasurer also submitted a copy of the Foundation's IRS
Form 990 tax return for the FY year 6/1/97 - 5/31/98, prepared by Gelman, Rosenberg &
Freedman. (Item 4)

      2.    Audit - Gelman, Rosenberg & Freedman's report of the audit of the
Foundation's books and records as of May 31, 1998, was also distributed. The audit
concluded that the financial statements examined by it presented fairly the financial
position of the Hl Foundation at May 31, 1998, and its changes in net assets and its cash
flows for the audited year. (Item 5)

      With respect to the above items, President Costlow reported that she had not
signed the retainer agreement for the CPA firm and was unsure about the indebtedness of
the Foundation for the tax return and the audit report.

      3.    Horizon Theatre Fundraiser - Martha McQuade submitted a detailed
written report dated March 1, 1999, of this fundraiser with the Horizon Theatre. (Item 6)
Based on data compiled by Jackie Pumpaly, the Foundation's share of the proceeds, less
expenses, is $737.83. There may still be a few outstanding credit charge receipts and/or
fees associated with this fundraiser; however, the amounts will be small.

      4. Annual Dinner - Tania Hanna (via telephone) and Vicky McEneney updated the
Foundation on the Dinner plans and progress. The invitations have been printed and will
