        An  unusual opportunity for members to participate in an
    intensive review of Problems of Organizing Small Businesses
    under the personal guidance of two  American  Law  Institute
    authors.


               Morning Session -- 10 A. M.

    MARCUS   MANOFF will discuss   Practical Problems Involved
    in Organizing Partnerships and Corporations and LEONARD
    SARNER   will discuss Tax  Problems  in Organizing  Small
    Businesses.


                 Luncheon -- 12.15 P. M.

    JOHN  E. MULDER,   Director of the Committee on Continuing
    Legal Education of the American  Law  Institute will be guest
    speaker.


             Afternoon Session -- 2:00 P. M.

    MESSRS.  SARNER   and MANOFF will   lead a panel discussion,
    assisted by MESSRS. ARTHUR   J. LEVY, WALTER   F. GIBBONS
    and GEORGE   C. DAVIS  of the Rhode Island Bar.

    *  All registrants at the institute  will receive  lecture  outlines
       and a copy of Mr. Sarner's book on the subject of the day.
       Afternoon session will be followed by annual meeting and
       annual dinner of the Bar Association.

    *  An  investment of one day of your time will pay valuable
       dividends at your own desk. You are urged  to make  your
       reservation for the institute, the Annual Dinner and Meeting
       AT ONCE   on cards sent out by Secretary's office.

      FROM  THE  PRESIDENT
To all members of the Rhode Island Bar
Association:
  If one of your clients wants to start a
small business and asks you whether he
should conduct it in his own name, in-
corporate or perhaps form a partnership,
do you have up-to-date and authorita-
tive information as to how each type is
taxed, as to the advantages and disad-
vantages of each form of organization
and as to what questions to ask your
client about the proposed business to
make certain that he and you will come
to the wisest decision on the problem?
  To give such information to those at-
tending, together with suggestions as to
how to organize the business form de-
cided upon, will be the aim of the Insti-
tute on Organizational Problems of
Small Businesses, to be presented at
the Narragansett Hotel in Providence
on Thursday, October 15, at 10:00 A. M.,
under the joint auspices of the Rhode
Island Bar Association and the Com-
mittee on Continuing Legal Education
of the American Law Institute.
  This subject was selected because it
is homely and  practical - it involves
problems which arise most frequently
in the everyday practice of the average
lawyer in all communities. The subject
matter will be presented with emphasis
on the how-to-do-it approach. The
speakers have been carefully selected.
They are experienced in this field of law,
and they have demonstrated their ability
to impart their knowledge to others. The
panel discussion following the lectures
will in informal fashion collate and
round out the formal talks. You have
already seen the detailed program.
  Not the least of the advantages of the
sessions will be that any person attend-
ing who may be wrestling with a prob-
lem along these lines can put the ques-
tion to the panel and have the benefit
of the experience and opinion of its
members.  The  local members of the
panel will also have something to say as
to aspects of the subject which are pecu-
liar to Rhode Island.
  The  American Law  Institute is a
charitable and educational corporation
which among other things has been con-
ducting or helping to conduct such
Institutes in a large number of different
