Application of

     CARIBBEAN ATLANTIC AIRLINES, INC.      Docket 22691
               AND
     EASTERN AIR LINES, INC.

pertaining to the interim management
agreement.


                                  ORDER

     On November 1, 1972, Eastern Air Lines, Inc. (Eastern) filed a telegram
requesting exemption or other emergency authority which would enable
Eastern's management team to continue to function under the interim manage-
ment agreement between Eastern and Caribair.  That agreement has been in
effect since December 1970 and terminated without renewal on October 31,
1972.  The agreement provided for the furnishing by Eastern of financial,
technical, and management assistance and personnel for the operation and
sustenance of Caribair pending final decision in the Eastern-Caribair
Acquisition Case, Docket 22690.  Eastern's telegram states that its re-
quest was prompted by the Board's issuance in the Acquisition Case of
Order 72-10-96, October 30, 1972, which established various procedures for
further consideration of the acquisition application based upon the
President's decision to return that matter to the Board.

     Eastern's telegram states that Caribair has asked that Eastern's
management team continue to function under the management agreement past
the October 31, 1972, termination so that the parties will have an oppor-
tunity to obtain copies of, evaluate and react to the determination
effected by Order 72-10-96.  It further states that the Commonwealth of
Puerto Rico has agreed to advance $100p00 immediately to meet the payroll
forthcoming on November 3, 1972, and prevent the grounding of Caribair
prior to the time that evaluation can be completed.
