                              ORDER

Summary

By this order we approve the transfer of certificate authority
held by Executive Air Charter, Inc. on Route 537 in light of its
acquisition by AMR Eagle, Inc.

Application

By application jointly filed on November 17, 1989, AMR Eagle, Inc.
and Executive Air Charter, Inc. seek approval under section 401(h)
of the Act to the extent necessary for transfer of EAC's
certificate for route 537 in light of its new ownership by AMR
Eagle.

AMR Eagle is a wholly-owned subsidiary of AMR Corporation which
also owns American Airlines. AMR Eagle is a holding company that
owns a number of commuter air carriers affiliated with American
Airlines. EAC is a small certificated air carrier holding a
certificate of public convenience and necessity (Route 537) to
engage in scheduled foreign air transportation of persons,
property and mail between a point or points in the United States
and a point or points in the Dominican Republic; Martinique;
Guadaloupe; the Netherland Antilles; Antigua; Anguilla; St. Kitts
and Nevis; the British Virgin Islands; and Castries and Beaufort,
St. Lucia. Orders 88-2-49 and 89-7-3.

Under the terms of the arrangement, AMR Eagle would purchase all
of the outstanding stock of Executive Air Holdings, Inc., which
owns all of the outstanding stock of EAC. Through a series of
intra-corporate transactions, EAC would become a wholly-owned
subsidiary of AMR Eagle. Prior and subsequent to the acquisition,
EAC will be the carrier exercising the route authority on Route
537.
