     LONDON-FRANKFURT EXEMPTION PROCEEDING  : Docket 45028



                           FINAL ORDER


By Order 87-9-41, we tentatively selected Trans World Airlines to
exercise local traffic rights between London and Frankfurt during
the next two off-peak seasons running from October 29 to May 14.1/
We directed all interested persons to show cause why we should not
make final our tentative decision and grant TWA an exemption for
the off-peak seasons through May 14, 1989.

No answers to Order 87-9-41 were filed.

ACCORDINGLY,

1. We make final our tentative findings and conclusions in
Order 87-9-41;

2. We grant Trans World Airlines an exemption from the terms,
conditions and limitations of its certificates of public
convenience and necessity for Routes 147, 468 and 523 to the
extent necessary to authorize it to carry local traffic between
London, U.K., and Frankfurt, Federal Republic of Germany, during
the two off-peak traffic seasons, as described supra;

3. Except to the extent we have granted, we deny the applications
and all other requests in Docket 45028;

4. We may amend, modify, or revoke this order at any time,
without hearing, should the public interest so require; and


I/ We also consolidated into this proceeding the exemption
applications of Trans World Airlines in Docket 45067 and Northwest
Airlines in Docket 45070.
