                                  FINAL ORDER

By Order 86-8-16      , issued   August 8    , 1986, we directed all interested
persons to show cause why we should not issue an order making final our
tentative findings and conclusions that SunCoast Airlines, Inc., a Delaware
corporation, continues to be fit to provide interstate and overseas scheduled
air transportation. The certificate was issued by Order 83-12-57 to SunCoast
Airlines, Inc., a Florida corporation, which has been merged into the Delaware
corporation to which the certificate is being transferred. 1/ Interested
persons were given 15 days to file objections.


No objections to Order 86-8-16


have been received.


ACCORDINGLY,
1. We find that SunCoast Airlines, Inc., continues to be fit to provide the
interstate and overseas scheduled air transportation authorized by the
certificate issued in Order 83-12-57;

2. We approve the transfer of the certificate to provide interstate and
overseas scheduled air transportation issued by Order 83-12-57 to SunCoast
Airlines, Inc., a Florida corporation, to SunCoast Airlines, Inc., a Delaware
corporation, and reissue the certificate in the attached form;


1/ Order 86- 8-16   also granted SunCoast pendente lite exemption
Docket 43598 permitting it to engage in interstate, overseas, and
charter air transportation pending a final order in Docket 43597.
