Application of

     WINGS AND WHEELS EXPRESS, INC.
                 AND                              Docket 18611
     AIR EXPRESS INTERNATIONAL CORP.

for approval of control and interlocking
relationships under sections 408 and
409 of the Federal Aviation Act of 1958,
as amended.


                         ORDER OF APPROVAL

     By Order E-25602, served on August 28, 1967, the Board tenta-
tively found that the acquisition of the assets and liabilities of
Air Express International Corp. (AEI) by a wholly-owned subsidiary
of Wings and Wheels Express, Inc., should be approved pursuant to
section 408(b) of the Federal Aviation Act of 1958, as amended,
(the Act) and that the application for approval of interlocking
relationships resulting from the transaction should be dismissed.

     In accordance with the statutory requirements of section
408(b), Order E-25602 was published in the Federal Register and a
copy furnished to the Attorney General. The order afforded inter-
ested persons a period of ten days within which to file comments or
request a hearing with respect to the Board's proposed action.

     No adverse comments or requests for a hearing have been re-
 ceived.

     The Board finds therefore that its tentative findings and con-
 clusions, as set forth in Order E-25602,should be made final.
