Between Joshua Spering, Assignee, &c.,

FRANK A. DREXEL          AND    OT-ERS.
The Answer of Frank A. Drexel, Anthony J. Drexel and
Joseph W. Drexel, who have survived Francis M. Drexel,
deceased, late trading as Drexel & Co.
These defendants, reserving all exceptions, for answer, say
I. That they have no personal knowledge of the right of
complainant to represent the company, of which he claims to
be the assignee, and they pray that proof thereof may be
made; but they submit to the Court that, so far as the bill
seeks to set aside and a void an alleged fraud on the part of his
assignor, that the same shows no cause of action; and they
claim to make this averment by way of answer, with the same
effect as if they had specially demurred to the said bill
therefor.
II. That by the fifth paragraph of the bill of complaint, it
is alleged that the transactions now in controversy were con-
sidered and settled by and between complainant and these
defendants nearly five years before this action was begun,
and an account stated (Exhibit D.), and a final settlement
made between the complainant and these defendants at that
time. And these defendants aver that the statements made
in the bill of complaint to excuse the delay in the filing of
