An Act to incorporate the Burke County Gold Mining Company. 1834-1835 26 (1834)

sue and be sued, plead and be impleaded; answer and be answered, in any Oou
of Record in this State; hold and enjoy property; have and use a common seal,
and have succession, and pass ordinances and bye-laws for the governmentof the
Society,*not incompatible wih the Constitution of this State, and the laws thereof,
II. Be it farther enacted, That the afrairs of said Society, shall be managed by
a Board of Managers, appointed by a majority of the members thereof, at stich
time, and such manner, as a major:ty of the members aforesaid, shall and may
deem advisable.
1Il. Be it further enacted, That said Society shall exist and exercase its
corporate functions for twenty years, and no longer.
CHAPTER XXXVIII.
dn ACT to incorporate the Mountain Island Gold Mining Company in t1e county of'
Mecklenburg.
* Be it enacted by Ihe General .sembly of the Stale of North Carolina, and
&. is hereby/ enacted by. the authority oJ the same. That there shall be established
sn the county of Mecklenburg, a gold mining company, by the name and style
of the Mountain Island Gold Mining Company, with a capital that shall not
exceed two hundred thousand dollars. divided into shares of one hundred dollars
each; and that John H. Biss-1, C. Smedburg, David F. Caldwell. and James Huie,
and such persons as they shall associate with them, are hereby appointed commis-
eionera, and are authorized, at such times and places as they may deem expedient,
after ten days' public advertisement of the same, to open books for the purpose
of receiving-anbscriptions for shLres of stock in said company.
II.- Be it farther enacted, That %%hen the sum of twenty five thousand dollars
sball have been subscribed, the subscribers, their successors or assigns, are here.
b declared to be incorporated by the name and style of the Mountain Island
Gold Mining Company, and shall continue to exist as such for twenty five years;
and as such may sut and be su d, plead and be impleaded; and shall have power
to make all bye-laws and regulations, not inconsistent with the laws of this State,
which may be necessary for the well ordering and conducting of the affairs of
snid company-; and possess and enjoy all the privileges and rights of a corpora-
tion or body politic: Provided the business of thesaid company shall be confined
to the purposes of mining only.
Ill Be it further enacted, That the said commissioners are hereby authorized
to receive in payment of stock subscribed, any mining property, at such valua.
tion as they may deem just and reasonable; and it is hereby further declared that
Je stock of said company shall be held and deemed personal property.
IV. Be it further enacted, That the stockholders shall annually, in said county
elect a president and three directors from their own body, who shall appoint the
other officers of said company, and make rules and regulations for the manage.
inent of the affairs of said company; and in all general meetings of the stock.
holders, who may appear by proxy, the stockholders shall vote in proportion to
the shares of stock they may respectively own.
V. Be it further enacted, That any legal process against said corporation may
be served on the president thereof, or in case of his absence from the State, ser.
vice of the same on any director, or if there be no director in the State, then ser.
vice on any stockholder shall be sufficient; and the, property of said corporation'
&hall be liable to the satisfaction of the debts of said corporation, by executioy
attachment, or other legal or equitable process.
CHAPTER XXXIX.
An ACT to incorporate the Burke county Gold Mining Company.
Be it enacted by the General .Asembly of the State of No-th Carolina, and it
it hereby enacted by the authority of the same, That a Gold lining Company
aball be establhihd in the State aforesaid, by the name and style of the  Burke
