XVI. Be It further enacted, That this act lall be in full force from and
after the ratification thereof.
An          CHAPTEI      mLXIV.
An met to incorporate the Franklin Gold Mining Company.
Be it enacted by the General .Assenbty if the  tate oJ North Carolina,
and it is hereby enacted by the authority of the same, '1Dhat a gold tnining
company shall be established in the county of Mecklenburg, State of North
Carolina, by the name and style of the Franklin Gold Mining Company,
with a capital of one hundred and twenty five thousand dollars, in shares
of twenty five dollars each; and that Williain Davidson, David J. Cald-
well, James H. Blake, and all those who now are or shall hereafttr become
their associates, are hereby authorised to open books at. Charlotte and such
other places as theymay direct, for the purpose of receiving subscriptions
for shares in the said company, having advertisedsuch intention i tihe
Farmers' and Miners' Journal and-such other papers as they may deem ne-
cessary for twenty days, and keel) said books open for ten days, with pow-
er to re-otien the same in like mauner, if the amount of capital shall nut
be subscribed.
II. Be it further enacted, That the commissioners'under whom the
books are opened for subscription, shall meet at the expiration of ten days
after opening books as above provided, and compare their books, and if it
shall be found that the sum of twenty thousand dollars shall have been
subscribed, the aforesaid commission'ers shall forthwith advertise and re-
quest a general meeting of the stockholders at such place and place as
they shall appoint; and if stockholders representing a majority of all the
stock subscribed shall attend said meeting, either in person or by proxy,
the said stockholders may proceed to appoint five directors, one of whom
shall be president of the company; anid the said directors shall be appoint-
ed for the term of one'year, and until their successors are appointed.
II[. Beit fui'ther enacted, That it shall be the duty of the directors
within ten days after their appointment as aforesaid, to meet and appoint
one of their own body president, and to execute skuch bonds as may be re-
quired of them by the stockholders for the faithful performance of their
respective duties while in office.
IV. Be it further enacted, That %, hen the sum of twenty thousand dol.
lars shall be subscribed in manner aforesaid, the subscribeis, their succes-
sors and assigns, shall be, and are her#by declared to he incorporated into
a company, by the name and style of the Franklio Gold Mining Company;
and by that name inay sue- anti be sued, plead and be imlpleaded, before any
court or justices of the peace, anti shall so continue for the term bf thirty
years friom the ratification of this a, t; and shall be capable in law to have,
purchase, receive, possess, enjoy and retain to them and their successors,.
lands, rents, tenements, hereditaments, good. chattels and effects, of what.
soever kind, nature and quality; and the same to sell, grant, alien or dispose
of; and shall possess all the rights anti privileges of a corporation or body
politic in law; and alsov may make, have. and use a common seal, and the
same break, alter and renew at their pleasure; and may make all such bye
laws, rules and regulations, not inconsistent with the constitution and laws'
of the State, as shall be necessiry for the well ordering and conducting the
affairs of the company.
