on the terms to be prescribed in the by-laws to be
adopted by them; and said certificates shall only
be assignable on the books of the company, and
they may contract and make agreements, without
the formality of putting the seal of the company
thereto.
SEC. 12. Be it further enacted, That two-thirds
of the entire stockholders in amount of the socie-
ty, may alter any of the provisions of this charter,
Provided, that no additional powers or priv'eoes
are thereby conferred upon the society, but simply
the details for carrying the powers and privileges
herein conferred, into effect.
SEC. 13. ./nd be it further enacted, That this act
shall take effect and be in force from and after its
passage.

CHAPTER      CCCLXVIII.
RESOLUTIONS in relation to the Southern Pacific Rail
Road.
W    tERVAs, The highest interest of the U. States,
commercial, political, military, social and frater-
nal, demand a railroad communication within her
own borders, between the States on the Atlant,
and on the Valley of the Mississippi, with the
States on the Pacille Coast: And whereas, the
maintenance of the Union will be preserved in
the facility which it will afford for the sudden con-
centration of ani armed force on that remnote fron-
tier, and the conimerce of' the world will be
seeu -ed-this vital measure so eminently calculat-
ed to confer lastinig benefits upon every section of
our beloved country : And whereas, it is of trans-
condent value to tbe Sonuterliin States, in alording
a ronto to the Pacific, which will be flie from tlhe
annoyances of fanaticism, and will present the
practical opportunity of forming along ie road,
States, with all the privilegs of ti constitution,
and thus restore the equilibrium in the Sonate, so
