ciation, in such manner and at such times and places as they may ap-
point, and to close the same; and the subscribers to said stock shall meet
at such time and place as the above-named persons, or any three of them,
shall appoint, by first giving notice of such meeting in one or more news-
papers in the city of St. Louis, and shall choose ten Directors to be com-
posed as aforesaid.
§ 5.-Every Board of Directors shall annually, at their first meeting
after their election, choose one of their own number as President, and
shall appoint such other officers and agents as may be required by the by-
laws, rules and regulations of the association, and shall hold their offices
until their successors are elected and qualified according to the by-laws of
said association.
§ 6. - The Board of Directors shall have power to adopt laws and
regulations for its own government, and shall exercise such powers only
as are delegated to them by the by-laws, rules and regulations of the asso-
ciation.
§ 7. - The capital stock of said association shall not exceed fifty thou-
sand dollars, which shall be divided into shares of twenty dollars each;
and at all elections, each share shall entitle the holder to one vote.
§ 8. - The stock of said association shall be considered personal pro-
perty, and shall be transferable according to such rules and under such
restrictions as the Board of Directors may direct.
§ 9.-The first section of an act entitled, An act for the relief of
the Grand Lodge of the Independent Order of Odd Fellows of the State
of Missouri, approved March 1st, A. D. (1851), eighteen hundred and
fifty-one, shall be, and the same is herchy, applicable, and its provisions are
hereby extended to the corporation hereby created.
§ 10. - Sections six, seven, thirteen, fourteen, fifteen, sixteen, seven-
teen and eighteen of an act concerning Corporations, approved March
19 (1845), eighteen hundred and forty-five, shall not be applicable to this
association.
§ 11. - This act shall take effect and be in force from and after its
passage.
