Re: 02-0018 - Whether N.J.S.A. 52:25-24.2 applies
to limited partnerships, limited liability
corporations, limited liability partnerships
and Subchapter S corporations
Dear Acting Director Cancro:
You have requested advice regarding the interpretation of
N.J.S.A. 52:25-24.2. This statute provides that no corporation or
partnership shall be awarded any contract by the State, or any
county, municipality or school district, or any subsidiary or
agency thereof, unless, prior to the receipt of the bid of the
corporation or the partnership for the contract, there is submitted
to the public contracting unit a statement setting forth the names
and addresses of all individuals who own 10% or more of the stock
or interest in the corporation or partnership.   Your specific
inquiry concerns whether the provisions of N.J.S.A. 52:25-24.2,
which specifically refer to corporations and partnerships, apply to
limited partnerships, limited liability corporations, limited
liability partnerships and Subchapter S corporations.  For the
reasons set forth below, you are advised that the provisions of
N.J.S.A. 52:25-24.2 do apply to limited partnerships, limited
liability corporations, limited liability partnerships and
Subchapter S corporations.
N.J.S.A. 52:25-24.2 was enacted as L. 1997, c. 33 on
March 8, 1997. The statute provides in relevant part as follows:
No corporation or partnership shall be awarded
