                            AMENDED MINUTES OF
      THE WOMEN'S BAR ASSOCIATION OF THE DISTRICT OF COLUMBIA
        BOARD OF DIRECTORS (INCOMING AND OUTGOING) MEETING
                                 MAY 20, 1997

      The meeting was called to order at approximately 6:40 p.m. by President Nancy Long.
Those present were Cynthia Goode, Nancy Long, Mary Clark, Susan Swiatek, Saundra Brown,
Michelle Gary, Vicky McEneney, Cory Amron, Pat Apfelbaum, Martha McQuade (who was also
attending a WBA Foundation meeting across the hall), Kathryn Ellis, Ellen Berick, Loretta
Garcia, Mary Kate Whalen, and Executive Director Lora Pollari-Welbes.

I.    MINUTES (Mary Kate Whalen)

      The minutes of the April 1997 Board meeting were approved. It was noted that, by the
end of the fiscal year, the WBA will have all final, approved minutes for the 1996-97 year.

      ***   THE WBA BOARD THEN WENT INTO EXECUTIVE SESSION, WHICH
            WAS CONCLUDED, AND THE MEETING CONTINUED AS FOLLOWS ***

II.   REPORT OF EXECUTIVE COMMITTEE ACTION (Nancy Long)

      The WBA endorsed Sherry Sprague for United States Attorney for the District of
Columbia. The WBA is presently considering endorsing Nancy Luque for the U.S. Attorney
position.

III.  OUTGOING TREASURER'S REPORT (Ellen Berick)

      Ellen reported that the WBA's finances are in great shape and that the WBA will
probably end the year with a considerable surplus.
      Lora is developing useful, detailed analyses of programs, which can be used to adjust the
WBA's implementation of programs.

IV.   PERSONNEL COMMITTEE (Vicki McEneney)

      Discussed in Executive Session.

V.    EXECUTIVE DIRECTOR'S REPORT (Lora Pollari-Welbes)

      Lora reported that 30 applications for membership had been received. The Board voted
to approve membership for all 30 applicants.

      Lora distributed the Executive Director's report, which included a chart of programs that
were held during the 1996-97 year. The report also included a proposal from Greenwich
