                         FINAL APPROVED MINUTES OF THE
          WOMEN'S BAR ASSOCIATION FOR THE DISTRICT OF COLUMBIA
                          BOARD OF DIRECTORS MEETING
                                  JANUARY 21, 1997

       The meeting was called to order at approximately 6:30 p.m. by President Nancy Long.
Those present at the meeting included Ellen Berick, Nancy Long, Julie Heflin, Pat Apfelbaum,
Mary Kate Whalen, Saundra Brown, Cory Amron, Martha McQuade, Sue Swiatek and WBA
Executive Director Lora Pollari-Welbes.

       Tania Hanna, co-chair of the Women's Leadership Dinners, and Karyn Ryan, attended
part of the meeting and spoke before the Board.

I. MINUTES

       The Board minutes for December 17, 1996, were approved as amended.

II. Women's Leadership Dinners (Tania Hanna)

       Tania Hanna, co-chair of the Women's LeadershipDinners, reported on the status of the
Women's Leadership Dinners which will be held on March 19, 1997. Ann Bingaman has been
confirmed as the Keynote Speaker. After the general reception and Keynote speech, the event
will be divided into nine separate dinner parties, each with a different area of legal practice, with
3-5 guest speakers at each dinner. Each dinner planner is responsible for getting attendance of
at least 20 at their dinner. Additionally, Tania reported their intent to solicit smaller, boutique
law firms for sponsorships.

       The Board approved the budget submitted for the WBA Women's Leadership dinners, as
revised January 21, 1997.

II. Proposed Intellectual Property Forum (Karyn Ryan)

       Karyn Ryan proposed the formation of an Intellectual Property Forum. She explained to
the Board that such a Forum is needed because the issues involved in the practice of Intellectual
Property law are not encompassed by any one existing Forum. She also pointed out that
Washington, DC is the center for the United States Patent and Trademark Office and that an
Intellectual Property Forum could be a good resource for membership recruitment.. Karyn
further reported that a brown bag lunch has been scheduled for February 12, 1997, for a general
round-table discussion on Intellectual Property practice. The lunch will be co-sponsored by the
Tax & Business Forum.

       The Board suggested going forward with the planned brown bag lunch and subsequent
planning meetings and then to report to the Board the extent of interest in an Intellectual Property
