                                      MINUTES
                          BOARD OF DIRECTORS OF THE
                       WOMEN'S BAR ASSOCIATION OF DC
                                 OCTOBER 15, 1996

 In attendance: Nancy Long, Ellen Berick, Saundra Brown, Sue Swiatek, Cory Anron, Pat
 Apfelbaum, Loretta Garcia, Julie Heflin, Vicky McEneney, Martha McQuade; Brandee Shope,
 and Lora Pollari-Welbes.

 President Long distributed lists of names and numbers of former WBA members who have not
 renewed after two written notices and asked each board member to call the people on her list by
 November. She reported that we are behind in the addition of new members. The mailing to
 new admittees was not as productive this time: only 13 responses to 300 mailed initiations..
 However, President Long was encouraged by the response at the lunch held at Covington &
 Burling which she attended along with the Membership Committee Chair, Mary Clark. There
 was a lot of interest, many people asked good questions, and took applications. Several more
 such lunches at large firms are planned.

 At this point a quorum was achieved.

 A motion to approve the list of 30 new members passed unanimously.

 Copies of the audit by Tate and Tryon were distributed to the Board Members. Treasurer Berick
 told the Board that the audit appeared to be the most rigorous one conducted in years. It
 consumed a lot of the Director's time, but was reassuring in its conclusions because it was so
 thorough.

 Ms. Heflin asked about two of the recommendations in the auditor's letter to the board. The first
 concerned the handling of cash receipts, that checks be logged in by one person and deposited by
 another, and that they not be held for a week. Treasurer Berick responded that although the office
 rarely did hold checks that long, that Lora has already changed the procedure to implement the
 recommendations. The second recommendation was to develop a written accounting handbook.
 Everyone agreed that it was a good idea, but might wait to be written until the bookkeeping
 situation was resolved.

 There followed a discussion of the advantages and difficulties of the Association and the
 Foundation sharing a bookkeeper, during which Ms. McQuade mentioned that a friend of hers
 had a good experience with a group she believes is called Administaff. She agreed to give
 information about it to President Long.

 After a few corrections were made to the minutes of the September meeting:

The minutes of the September Board meeting were unanimously approved as amended.
