                    MINUTES OF THE BOARD OF DIRECTORS
                THE WOMEN'S BAR ASSOCIATION FOUNDATION
                               November 14, 2000
                           (Approved January 18, 2001)  -


      The meeting was called to order at 7:10 p.m. by President Sandra Robinson, at the
law offices of Jack H. Olender & Associates, P.C., 888 1 7th Street, NW, Washington, DC
20006. Present were: President Robinson, Caroline Petro, Maria Perugini, Mildeen Worrell,
Jocelyn M. Fisher, Consuela A. Pinto, and Gloria R. Sulton. Also present was Deborah
Israel, President-Elect of the WBA.

MINUTES: The minutes of the October 10, 2000, meeting were approved. (Item 1).
Through inadvertence and oversight, the minutes of the April 11, 2000, had not been
submitted for approval to the Board. These minutes were also approved by the Board.
(Item 2).

TREASURER'S REPORT: The Treasurer submitted the Prime Broker Statement from
Salomon Smith Barney (SSB) for the period October 1-31, 2000. (Item 3A) Also
distributed were the Charter Financial Group Quarterly Performance Report for June 30 -
September 30, 2000, including the Portfolio Appraisal as of September 29, 2000 (Item 3B),
and the Profit and Loss Statement (10/1-11/15/00) and a Balance Sheet as of October 10,
2000, prepared by Julie Almacy (Item 3C). The SSB statement reflects a portfolio value of
$237,973 as of October 31,2000; however, the Charter report reflects a net quarterly loss of
$3,788.

      The Profit and Loss Statement shows receipts of $3,983, of which $3,925 was for
the Endowment Campaign, with net income of $3,187.22, after expenses. The Balance
Sheet includes $18,609 in a Schwab operating account, and net income loss of
$26,184.11. Both of these matters will be checked into by the Treasurer.

NEW BUSINESS:

      1. Annual Dinner/WBA Liaison - The WBAF needs one or more persons to serve
on the Annual Dinner Committee. Consuela Pinto volunteered to be a liaison to the WBA.

      2. WBA Holiday Party - The WBA will host its annual Holiday Party on December
5, 2000, at the WBA office building. The WBAF Board is cordially invited to participate.
The WBA asks that our members please contribute desserts for the party.

      3. Corporate Counsel Dinner - The WBA is in need of a location for the Corporate
Counsel Dinner. Please feel free to contact the WBA office if you have any ideas.

      4. PLEN Grant - The Board approved via electronic communication a grant of $600
to the Public Leadership Education Network to support its annual Women, Law and Public
Policy Conference Dinner on November 5, 2000, in the District of Columbia. Forty women
students from around the country convened on November 3 for a series of meetings on
Capital Hill and the Supreme Court, and heard from distinguished women in all branches of
the Federal government. PLEN's president, Marianne Alexander, sent a very laudatory
letter thanking the WBAF. (Item 4)
