                     MINUTES OF THE BOARD OF DIRECTORS
                 THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                 October 10, 2000
                           (Approved November 14, 2000)

      The meeting was convened by the President, Sandra Robinson, at the law offices of
Jack H. Olender & Associates, P.C., 888 17th Street, NW, Washington, DC 20006. Present
were: President Robinson, Caroline Petro, Maria Perugini, and Gloria R. Sulton; Mildeen
Worrell and Victoria McEneney participated by telephone. Also present were Mary Kate
Whalen and Deborah Israel, President and President-Elect of the WBA, respectively.

MINUTES: The minutes of the September 12, 2000, meeting, recorded by Maria A.
Perugini, were approved. (Item 1).

AUDIT: The Board approved hiring the firm of Friedkin, Matrone & Horn, P.A., certified
public accountants, to audit the books and records and to prepare tax returns for the WBA
for the year ended May 31, 2000. The firm expects to perform the accounting services for
$4,500, the same amount charged by the prior firm. (Item 2).

TREASURER'S REPORT: A Profit and Loss Statement (9/5-10/10/00) and a Balance
Sheet as of October 10, 2000, prepared by Julie Almacy, were distributed by the Treasurer.
These reports reflected net income of $3,659.98 and total liabilities and equity of
$282,926.14. (Item 3). Also provided was the Charter Financial Group, Inc. Portfolio
Appraisal Statement as of September 29, 2000. This statement reflects a market value of
$237,037.85 for the assets held. (Item 4)

WBA BUSINESS:

      1. Fall Kick-Off - The WBA will begin a major membership drive with its fall kick-off
reception on October 12, 2000, in the Atrium of The Homer Building. Carolyn Lamm,
Partner at White & Case, and Past President of the DC Bar, is to be the special guest
speaker. Also, President Robinson will have an opportunity to talk about the Foundation
and the Endowment Campaign during the reception. The WBAF will be afforded an
opportunity to have a table with information and pledge forms. Various members
volunteered to man the table during the evening. (Item 5).

      2. Cost-Sharing Proposal - Mary Kate Whalen and Deborah Israel presented the
WBA proposal for the sharing of costs for recurring administrative office expenses,
equipment purchases, website upgrade and maintenance, and membership printing and
distribution costs, as reflected in the written proposal dated October 3, 2000. (Item 6)
Whalen and Israel responded to questions from the Board about the proposed allocation,
whether certain expenses were one-time or recurring, whether the annual dinner or other
special events should have administrative expenses charged to the event, and whether
certain proposed expenses would be more appropriately funded as grants from the WBAF.
      The Board went into Executive Session and further discussed the proposal.
Because Treasurer Worrell did not have the proposal before her and the Board wished to
receive her analysis of the proposal and any additional information provided by the WBA
about the cost allocation percentages, this matter was deferred for a decision until the next
meeting.
