                     MINUTES OF THE BOARD OF DIRECTORS
                 THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                 September 12, 2000


       The meeting was convened by President Sandra Robinson at 6:45 p.m., at the law offices
of Jack H. Olender and Associates, P.C., 888 17th Street, N.W., 4th Floor, Washington, D.C.
20006-3939. Present were: Caroline Petro, Vicky McEneney, Mildeen Worrell, Maria Perugini,
Martha McQuade and Tania Hanna.

CORRESPONDING SECRETARY: The Board voted to approve that Maria Perugini be
appointed to the position of Corresponding Secretary.

MINUTES: The Board reviewed the Secretary's notes of matters that were informally
discussed at the June 13, 2000 meeting and there were no comments. (Item 1)

TREASURER'S REPORT: Treasurer Mildeen Worrell distributed copies of the Salomon
Smith Barney statements covering the periods from July 1 - August 31, 2000. (Item 2) Also,
she provided a Balance Sheet for the WBA Foundation as of September 11, 2000. (Item 3)

The Treasurer reported that the Schwab account is now closed, and the money has been
transferred to a Salomon Smith Barney account. She clarified that the WBAF operating account
is the Financial Management Account. She requested that all Board members submit their
checks for $50.00 for the WBAF dinner fund. the Treasurer suggested, and the Board voted to
approve, to send Terri McField flowers, and to take the money out of the dinner fund.

The Board questioned whether it would be beneficial to add information on donating to the
WBAF through the United Way to the WBA's website. The Board was concerned that
administrative costs may not make donations through the United Way worthwhile. The Board
needs to get clarification from the United Way regarding its administrative costs.

ENDOWMENT        CAMPAIGN      FUNDRAISER:       Martha McQuade reported that the
Endowment Campaign Committee mailed its solicitation letter, and this is a good week to make
follow-up telephone calls to WBA members. The Board is scheduling telephone banks for
Tuesday, September 19 and Tuesday, September 26, 2000 at 5:00 p.m. There will be an article
in the WBA newsletter shortly regarding an interview with President Robinson concerning the
Endowment Campaign.

The next step for the Endowment Campaign is for Martha McQuade and Gloria Sulton to
prepare a brochure, and Caroline Petro will assist in getting it printed. After the brochure has
been printed, the Campaign will begin to target corporations that market to women to get initial
corporate sponsorship. Ultimately, the Campaign will make a broader corporate pitch.

Martha distributed to Board members the following information in order for them to make
telephone calls: (1) script; (2) list of telephone numbers; (3) blank contribution pledge forms;
and (4) form thank you letter. Martha explained that as each Board member is making telephone
