                    MINUTES OF THE BOARD OF DIRECTORS
                 THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                 April 11, 2000
                          (Approved November 14, 2000)

      The meeting was convened by the President, Deborah C. Costlow at the law offices
of Arent Fox Kintner Plotkin & Kahn, 1050 Connecticut Avenue, NW, Washington, DC
20036. Present were: Deborah Costlow, Martha McQuade, Caroline Petro, Maria Perugini,
Sandra H. Robinson, and Gloria R. Sulton. Also present was Marguerite S. Willis,
President of the WBA.

MINUTES: The minutes of the March 14, 2000, meeting were approved. (Item 1).

TREASURER'S REPORT: Treasurer Sandra Robinson distributed copies of the Solomon
Smith Barney statements covering the periods from January 1 - February 29, 2000. (Item
2). Also, she provided a Portfolio Appraisal Statement as of April 3, 2000, from Charter
Financial Group, Inc., along with the Advisory Fee Statement for April 2000. (Item 3)

The Treasurer also had available for distribution copies of the WBAF IRS Form 990 for tax
year June 1, 1998 through April 31, 1999, prepared by Ross, Langan & McKendree, L. L. P.
The accountants also circulated a draft of its audit report for the year ended May 31, 1999.
(Items 4 and 5) The Treasurer noted that there were some inconsistencies between the
tax return figures and the draft audit numbers which needed to be addressed. All of the
reports were received for filing.

OLD BUSINESS:

      1. Endowment Fund - Martha McQuade distributed the phone bank list and other
materials to Board members who were not present at the last meeting for their use in
making telephone calls to WBA members at the end of the WBAF Board meeting.

      2. WBA Supplemental Membership Materials - Based upon a memorandum from
Sharon Goley (Item 6), the Board voted to approve the expenditure of $1,227.00 to
reimburse the WBA for membership materials. The printed information is used for
recruitment purposes by the WBA and is not regularly distributed by the WBAF; however,
the material includes a solicitation request on behalf of the WBAF and Sharon concluded,
based upon consultations with tax counsel, that it is appropriate to charge this as an
administrative expense.

NEW BUSINESS:

      1. Nominations for Board Vacancy - Maria Perugini reported that she and had
spoken with several persons about serving on the Board. Because it was so near the end
of the terms of Nancy Long and Sharon Goley, she recommended that we seek full-time
replacements, rather than interim. President Costlow indicated her desire to continue to
have a diverse board made up of persons from industry and corporate America,
government, and private practice.

      2. Officer Slate Recommendation - Sharon Goley presented the slate, which she
