                  MINUTES OF THE BOARD OF DIRECTORS
               THE WOMEN'S BAR ASSOCIATION FOUNDATION
                               March 14, 2000
                           (Approved April 11, 2000)


      The meeting was convened by the President, Deborah C. Costlow, at the law
offices of Arent Fox Kintner Plotkin & Kahn, 1050 Connecticut Avenue, NW,
Washington, DC 20036. Present were: Deborah Costlow, Martha McQuade,Terri
McField, Caroline Petro, Tania Hanna, Victoria McEneney, and Gloria R. Sulton.

MINUTES: The minutes of the February 8, 2000, meeting were approved. (Item 1).

TREASURER'S REPORT: The Treasurer, Sandra Robinson, was not present and
there was no report. The Advisory Fee Statement from Charter Financial Group, Inc.
was distributed by President Costlow. (Item 2)

OLD BUSINESS:

      1. Endowment Fund - Martha McQuade had a packet of information for all the
Board members to use in making telephone calls to WBA members at the end of the
WBAF Board meeting. (Item 3) Along with a list of names each member was given to
contact, there was also a script for the telephone bank, a contribution/pledge form,
and the article for the next WBA newsletter.

NEW BUSINESS:

      1. Nominations for Board Vacancy - Caroline Petro reported that she and
Maria Perugini had not had an opportunity to confer prior to the meeting.

      2. Officer Slate Recommendation - President Costlow reported that she and
Sharon Goley will be contacting the Board members very shortly in order to put
together a slate of officers for the coming year.

      3. Grant Proposals - The Committee submitted a written report which included
a summary chart of the 15 grant requests, the amounts requested, and the proposed
use of the funds. (Item 4) Because the budget for grants in this fiscal year is $20,000,
of which $12,188 has been awarded, there remained only $7,812. The 15 requests
totalled $43,835. Based on the recommendations in the report, the Board approved
funding of the following proposals at the levels indicated:

      Women Empowered Against Violence, Inc.       $ 1,500
      American University                                    2,000
      WBA Litigation Forum Program                             800
      WBA Lawyers-at-Home Forum Program                        500
