                                BOARD  OF DIRECTORS  MEETING

                                           MINUTES

                                         April 9,2002

       The meeting was called to order by President Caroline Petro at the law offices of Piper
Rudnick LLP, which is located at 1200 19t Street, NW in Washington, D.C. Members present were
Marina Beckhard, Ann Bushmiller, Hazel Groman, Terri McField, Vicki McEneney, Maria Perugini
and Consuela Pinto. Also present were Kim Knight (WBA Executive Director) and Susan Stewart
(Financial Advisor, Charter Financial Group, Inc.), until the Board went into Executive Session.
Jocelyn Fisher acted as Recording Secretary.

I.     Financial Advisor Report

       Ms. Stewart briefly provided a performance report and an analysis of the WBAF portfolio for
the First Quarter of 2002. The Board briefly discussed the most recent account statements provided
by Salomon  Smith Barney. Ms. Stewart will inquire of Salomon Smith Barney and report to the
President regarding the nature of certain minimal, itemized bankcard charges on the Salomon Smith
Barney statements.

II. Annual Dinner Committee's Report

       The Committee reported that the planning for the dinner is in the final stages. It was stressed
that fundraising is still an important step in the planning process and the assistance of the Board in
this effort is crucial at this point. The next planning meeting of the Committee is scheduled for April
10th at 7 p.m.

III.   Recording Secretary's Report

       Upon  proper motion, the minutes pertaining to the March  12, 2002  meeting were
unanimously approved.

IV.    Grants Committee Report

       The Grants Committee reviewed four requests and made recommendations to the Board
based on its review. Based on its recommendations, a motion was made (i) to approve a grant
request to PLEN, on the condition that there was sufficient surplus in the annual budget, and (ii) to
reject the remaining grant requests due to insufficient funds for this grant cycle. The motion was
unanimously passed by the Board.
       Additionally, it was suggested that the Board might want to consider revising the grant cycle
for the coming year. The Board  discussed this matter at length and agreed to take this under
