                      November 13, 2001 Meeting Minutes

       The meeting was called to order by President Caroline Petro at the law offices of
Piper Marbury Rudnick & Wolfe, which is located at 1200 19'h Street, NW in
Washington, D.C. Members present were Marina Beckhard, Ann Bushmiller, Holly
Fechner, Hazel Groman, Terri McField, Vicki McEneney, Maria Perugini, Consuela
Pinto, Mary Kate Whalen (via telephone) and Jocelyn Fisher. Also present was Kim
Knight (WBA Executive Director). Jocelyn Fisher acted as Recording Secretary.

I.     WBA Report

       WBA Executive Director Kim Knight provided the report. The Corporate Counsel
reception is scheduled for November 17, 2001 and the WBAF members are encouraged
to attend. Additionally, the WBA has located potential office space at 1717 K Street on
the 50 Floor. The office has 600 square feet. The rent will be lower than the current rent
at the Bowen Building. A five-year lease is currently being reviewed.

II.    Fundraising Committee Report

       Amy Yendall of Avatar Galleries gave a presentation of her company to the
board. Avatar Galleries, formerly Heisman Fine Arts, has been in business since 1967
and has worked with various organizations throughout the years. Avatar profiles each
group to ascertain what art would be of interest to that particular group.

       Ms. Yendall stressed that the art auction would be profitable for the WBAF
because one hundred percent of both the revenue from ticket sales and advertising sales
goes to the foundation. Of the auction sales, the proceeds to the Foundation are based on
the following scale: (i) 10% of $7,499 and below; (ii) 20% between $7,500 and $11,999;
and (iii) 25% of $12,000 and above.

       Regarding the artwork, all paintings are original and are delivered matted and
framed. The gallery has artists whom create works exclusively for the gallery. Benefits
to using Avatar include training for the day of the event and a five-year exchange policy
for artwork. WBAF would need the whole board to coordinate the event and between 18
to 20 volunteers to assist on the day of the event. The goal attendance for the event is
between 100 and 150. The average ticket price is between $10 and $15 and final
settlement of the WBAF profit occurs at the end of the event.

       Following Ms. Yendall's presentation, board members decided that further
research was needed and such additional information would be provided by the
Fundraising Committee either prior to or at the next board meeting.
