                  MINUTES OF THE BOARD OF DIRECTORS
              THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                 May 8, 2001
                          (Approved          , 2001)

      The meeting was called to order by President Sandra Robinson, at the law
offices of Jack H. Olender & Associates, P.C., 888 17th Street, NW, Washington, DC
20006. Also present were: Marina Lyn Beckhard, Jocelyn Fisher, Hazel Groman,
Terri McField, Maria Perugini, Caroline Petro, Mildeen Worrell, and Gloria R. Sulton.

MINUTES - The minutes of the April 10, 2001, meeting were approved as
amended. (Item 1).

TREASURER'S REPORT - The Treasurer, Mildeen Worrell, had no statements from
our broker and Charter Financial or other financial statements to submit for this
meeting.

ANNUAL DINNER REPORT - President Robinson distributed a list of contributors
at the leadership, benefactor, underwriter, patron, sponsor and friends levels for
the Annual Dinner. (Item 2) President Robinson estimated the revenues from this
group total $140,000.                                .

BOARD VACANCIES - There will be two full three-year Board vacancies to be filled
at the end of this year, beginning June 2001. They are the positions currently being
vacated by Gloria R. Sulton and Tania Hanna. Maria Perugini is continuously
searching for nominees to fill the vacancies, anticipated and unanticipated, on the
Board. Maria presented Holly Fechner as a candidate to fill Gloria R. Sulton's
vacancy. (Item 3) The Board unanimously voted to accept Holly as a member of
the Board to serve a three-year term in the position being vacated by Gloria R.
Sulton. Maria will inform the WBA of this action and ask for its approval.

SECRETARY'S POSITION - The Recording Secretary's position for the coming
year remains unfilled. All interested are encouraged to step forward.

FUNDRAISING - The Board discussed ideas for fundraisers in the coming year.
Terri and Caroline are to explore these ideas further. Among the suggestions were
a fashion show, perhaps combined with a tea, and the golf tournament which had
been proposed previously. Marina suggested we consider a day for the WBAF at
Zainy Brainy, a web site for children which has really excellent, intelligent stuff for
kids. Marina explained that the program provides that the organization receive
10% of the proceeds from sales to its members. Marina will explore this idea
further and report back to the board at a future meeting.

The Austin Grill fundraiser approved at the last meeting will have to be postponed
because no date is available at this time. Caroline will contact the Grill and get the
Foundation on it's calendar.
