                   MINUTES OF THE BOARD OF DIRECTORS
               THE WOMEN'S BAR ASSOCIATION FOUNDATION
                                April 10, 2001
                            (Approved May 8, 2001)

      The meeting was called to order by President Sandra Robinson, at the law
offices of Jack H. Olender & Associates, P.C., 888 17th Street, NW, Washington, DC
20006. Also present were: Hazel Groman, Victoria McEneney, Terri McField, Caroline
Petro, Mildeen Worrell, Maria Perugini, and Gloria R. Sulton. Also in attendance was
Kimberly Knight, the new Executive Director of the WBA. There was no meeting in
March 2001 because of the absence of a quorum.

WBA EXECUTIVE DIRECTOR - President Robinson introduced the Board members to
Kimberly Knight and she was welcomed by all those present. Although she had only
been on the job about a week, she gave a brief up-date on the Annual Dinner plans and
indicated she was shopping for new office space for the WBA.

MINUTES - The minutes of the February 20, 2001, meeting were approved. (Item 1).

TREASURER'S REPORT - Mildeen Worrell, Treasurer, circulated copies of the Prime
Broker Statements from Salomon Smith Barney (SSB) for the period, March 1 - 31,
2001. (Item 2A) There was also copied a SSB Financial Management Account
statement covering the period February 26-March 31, 2001. (Item 2B) Mildeen gave a
brief recap of the statements. She also reported that there was no balance sheet
distributed, but informed the Board that prior statements had not been accurate
because of the software being employed in the WBA office to produce these reports.

GRANTS COMMITTEE - Only one grant request was received for this grant cycle (Item
3). It was from the High Tea Society, a non-profit corporation working to, inter alia,
alleviate juvenile delinquency through cultural and educational enrichment programs of
afternoon tea for young inner city girls, ages 12-18, in District of Columbia public
schools. The request was for a $5,000 grant; however, the budget for grants in this
fiscal year was not sufficient to support such a large amount. The Board unanimously
approved a $2,500 grant to the High Tea Society.

NOMINATING COMMITTEE - I presented the report of the Nominating Committee
(Item 4). The Committee presented the following slate of officers for the incoming year:
President, Sandra Robinson; Vice President, Caroline Petro; Corresponding Secretary,
Maria Perugini; and Treasurer, Mildeen Worrell. Despite valiant efforts by the members
of the committee, we were unable to find someone willing to take on the responsibilities
of the Recording Secretary. The slate was nominated, seconded, and unanimously
elected to office for the incoming year, June 2001 - May 2002. Maria Perugini will
submit the names to the WBA for approval at its next meeting.

BOARD VACANCY - Maria Perugini has continued her search for nominees to fill
vacancies on the Board and she presented the name and resume of Marina Lyn
