                  MINUTES OF THE BOARD OF DIRECTORS
               THE WOMEN'S BAR ASSOCIATION FOUNDATION
                              February 20, 2001
                           (Approved April 10, 2001)

      The meeting was called to order by President Sandra Robinson, at the law
offices of Jack H. Olender & Associates, P.C., 888 17th Street, NW, Washington, DC
20006. Also present were: Hazel Ann Groman,, Consuela A. Pinto,Terri McField,
Caroline Petro, Mildeen Worrell, Maria Perugini, and Gloria R. Sulton. Also in
attendance was Mary Kate Whalen, President of the WBA. The meeting was called to
order at 6:50 pm.

MINUTES - The minutes of the January 18, 2001, meeting were approved. (Item 1).

TREASURER'S REPORT - President Robinson submitted the Prime Broker Statements
from Salomon Smith Barney (SSB) for the period, January 1 - 31, 2001. (Item 2A)
There was also copied a SSB Financial Management Account statement covering the
period January 1-28, 2001. (Item 2B) We were also provided a Balance Sheet as of
February 20, 2001, a Profit and Loss Statement for February 1-20, 2001, and a Profit
and Loss Year-to-Date Comparison. (Item 2C) There is an error on the Balance Sheet
which shows the Schwab Operating Account. This account has been closed.

Also distributed was the IRS 990 tax return for the fiscal year 6/1/99-5/31/00, prepared
by our auditing firm, Freidkin, Matrone & Horn, P.A. This will be filed shortly. (Item 3)
We were also provided a draft of Financial Statements for the year ended May 31,
2000, by out auditor. (Item 4)

OLD BUSINESS:

ENDOWMENT CAMPAIGN - President Robinson reported that we received a $1,000
contribution from Finnegan Henderson law firm.

President Robinson will attend the Indiana University Fundraising School class that
begins on February 28 - March 2 for $360. This may offer an opportunity for a Board
member to enroll and bring back valuable information to the other members. There is
another seminar sponsored by the Smithsonian Institution on May 12, 2001 and all who
can attend are encouraged to do so. The Board approved payment to all who want to
attend these seminars.

BOARD VACANCY: There remains the unexpired term of Deborah Costlow to fill to
complete the Board's full strength at 12 members. This term will expire 6/03.

WBA EXECUTIVE DIRECTOR: The search continues to fill the position of Executive
Director of the WBA. Hazel Groman and four (4) other members of the WBA are
reviewing resumes. They plan to narrow the field to 10 and schedule interviews with
those candidates.
