                  MINUTES OF THE BOARD OF DIRECTORS
               THE WOMEN'S BAR ASSOCIATION FOUNDATION
                              January 18, 2001
                         (Approved February 20, 2001)


      The meeting was called to order by President Sandra Robinson, at the law
offices of Jack H. Olender & Associates, P.C., 888 17th Street, NW, Washington, DC
20006. Also present were: Hazel Ann Groman, Jocelyn M. Fisher, Consuela A. Pinto,
Victoria McEneney, and Gloria R. Sulton.


NEW BOARD MEMBER: The meeting convened with all welcoming the addition of
Hazel Ann Groman to the Board.

MINUTES - The minutes of the November 14, 2000, meeting were approved. (Item 1).


TREASURER'S REPORT - President Robinson submitted the Prime Broker Statements
from Salomon Smith Barney (SSB) for the periods November 1 - December 31, 2000.
(Item 2A and 2B) There was also copied a SSB Financial Management Account
statement covering the period November 27 - December 31, 2000. (Item 2C)

Also distributed were the Charter Financial Group Quarterly Performance Report for
September 30 - December 31, 2000, including the Portfolio Performance Report for CY
2000. (Item 2D). This Report showed a portfolio value of $233,932.63, which reflected
a net loss of $8,074.98 for the year. The Profit and Loss Statement (11/14 -12/12/00)
and a Balance Sheet as of December 12, 2000, prepared by Julie Almacy, were also
distributed. (Item 2E). President Robinson questioned the appearance of the Schwab
account on the Balance Sheet, as this account should have been closed out. There
was also a net income figure of ($42,476.78) which requires an explanation.

OLD BUSINESS:

ENDOWMENT CAMPAIGN - President Robinson reported that she had investigated
the Council on Foundations to determine what services, information, or advantages
membership in the Council might provide WBAF. Because our needs are in the
fundraising arena, the Council's focus on educational materials designed to assist in the
grant-making area dies not meet our immediate concern. She did report that Indiana
University has a Fundraising School which offers classes in this area. There is a class
that begins on February 28 - March 2 for $360. This may offer an opportunity for a
Board member to enroll and bring back valuable information to the other members.

All members were encouraged to continue making calls for donations to the Campaign
with a deadline for such calls to be completed before the annual dinner push.
