          Meeting of Women's Bar Association Foundation
                Board of Directors and Officers
                   Wednesday, November 10, 1982


      The meeting was called to order at 12:30 pm at the office
 of Pat Gurne. In attendance were the following: Brooksley
 Born, Pat Bailey, Karen Czapanskiy, Jane Golden, Pat Gurne,
 Liz Medaglia, Marjorie O'Connell, Ann Rasenberger and Margery
 Waxman.

      Marjorie O'Connell presented the report of 'the Nominating
 Committee. The following were nominated for the Foundation's
 five vacant positions:

      President      - Marjorie O'Connell
      Vice President - Judith McCaffrey
      Treasurer      - Jane Golden
      Secretary     - Ann Rasenberger
      Auditor        - Cory Amron

 These candidates were elected by the unanimous vote of the Board
 members present.

 4    The following three candidates were nominated for the one
 vacancy on the Board of Directors: Gail Fogarty, Bettina Lawton
 and Barbara Rossotti. Karen Czapanskiy, a member of the
 Nominating Committee, confirmed that all three candidates for
 the director position had been contacted and had agreed to serve.
 Pat Gurne moved that the Board of Directors elect Barbara Rossotti
 to fill the vacancy. Karen Czapanskiy seconded the motion. The
 Board then, by unanimous vote, elected Barbara Rossotti as the new
 member of the Board of Directors. Karen Czapanskiy agreed to
 call Ms. Rosssotti to inform her of her election.

     Karen Czapanskiy announced that the Nominating Committee
 had discussed forming an advisory committee to advise and assist
fthe Board of Directors. The idea for such an advisory committee
was generated in the Nominating Committee's search for candidates
for the Board of Directors. Marjorie O'Connell recommended that
consideration of the advisory committee proposal be postponed
until the next Foundation meeting.

      Jane Golden presented the Treasurer's report. She stated
 that the Foundation presently has $1,283 in its bank account.'
 A total of $1,735 has been collected to date from contributions,
 mostly in the $25 range. Ms. Golden noted that Judge Edna Parker
 contributed $500 to the Foundation. The Treasurer's report was
 unanimously approved by the Board of Directors.
