               MINUTES - MEETING OF DIRECTORS AND
      OFFICERS OF THE WOMEN'S BAR ASSOCIATION FOUNDATION


                  Monday, April 26, 1982


         The meeting was called to order at 7:15 pm. In
attendance were Marjorie O'Connell, Elizabeth Medaglia, Florence
King, Patricia Gurne, Susan Low, Karen Czapanskiy and Cory'Amron.

         Ms. O'Connell opened the meeting by introducing the
guest, Mr. Charles Fazio of McManis and Associates, a Management
Consulting and Resource Development Firm. Ms. O'Connell stated
that she had made some preliminary inquiries regarding firms which
could assist us in getting our fundraising activities off the
ground and McManis Associates had been recommended. Mr. Fazio
discussed in brief his firm, their clients and activities. Ms.
O'Connell then opened the floor for questions to Mr. Fazio regarding
his proposal which was circulated to the officers and directors
prior to this meeting. Mr. Fazio answered questions regarding
women in his organization, what services would be rendered by
his firm for the price quoted, which items, if any, the WBA
Foundation could undertake itself (the answer was none), billing
arrangements of their firm, who actually does the fundraising,
and other comments. He agreed to send a sample case study to
the officers and directors so they could see what part of the
finished product looked like. The remaining portion, the report,
is confidential and therefore he could not share another client's
report with us.

         Since this was an informational meeting only, Ms. O'Connell
scheduled a voting meeting for May 19, 1982 at 6:30 to formally
consider this proposal.

         The second order of business was the approval of the
management contract with the Bar Association of the District of
Columbia in conjunction with the Women's Bar Association. It was
moved and duly seconded that the WBA Foundation approve the contract
with the Bar Association of D.C. Ms. King amended the resolution
by requesting that the staff separate the Foundation's expenses
and income from those of the Women's Bar Association. The resolution
as amended was adopted unanimously by all those present.

         The annual meeting of the Women's Bar Association Founda-
tion will be held on Tuesday, May 4, 1982, 6:30 pm at Ms. O'Connell's
offices.

         The meeting was adjourned at 9:00pm.
