                     BOARD OF DIRECTORS MEETING
                                 July 15, 2003

                                 MINUTES

The meeting was  called to order by the President at approximately 6:45 p.m. at the
offices of Koonz, McKenney,  Johnson, DePaolis &  Lightfoot. In attendance were
Paulette Chapman (President), Lisa Dunner (Treasurer), Barbara Burr (Treasurer-Elect),
Regina DeMeo   (Secretary), Karen Lockwood (Board Member),  Ellen Jakovic (Past-
President) and Martha Lockwood (Executive Director). A quorum was not present.

I. Executive Director's Report-  Martha Lockwood   is in the process of  getting
information together to provide a Leadership Manual for 2003-2004. She will be in
contact with our web-designers to coordinate the completion of the new website as soon
as possible. She is assisting Paulette with the grant proposals due July 25, 2003. She is
also going to bid-out the publication of our updated brochures, which must be ready by
the time of our Fall Networking Event. She expressed the need for a new computer so
that her assistant's computer can be networked with her own computer.

II. Treasurer's Report-

   A. Treasurer's Notebook- Lisa reported that she had met with Martha Lockwood and
      Barbara  Burr earlier that day. She expressed a need in putting together a
      Treasurer's Notebook based on the outline Marjorie Burnett gave her of key
      deadlines.

   B. Budget   Status- The budget  for this coming  year  needs to  be  revised.
      Unfortunately, our bookkeeper has not reconciled the books since April 2003, and
      she is about to have surgery. As a result, we have not prepared a fourth quarter
      report, and an invoice has not been sent to WBAF for payment. Martha
      Lockwood   is going to contact Steve Bull our CPA to get a referral for another
      bookkeeper.

   C. DC  Personal Property Tax- Martha will confirm with Mr. Bull that we do not owe
      anything for DC property taxes, which are due July 31 st

   D. Paine Webber  Account- We  need to change the signatories on the account by
      removing  Marjorie Burnett and Ellen Jakovic and inserting Barbara Burr and
      Joanne  Young.  Paulette will send an email to everyone in order to obtain
      sufficient votes for this corporate resolution.  This quarter we   earned
      approximately $354 in interest; for the year we earned $876. Ellen suggested that
      it may be time to look at an investment advisor for the WBA. She recommend
