          WOMEN'S BAR ASSOCIATION FOUNDATION MEETING
                MINUTES OF FEBRUARY 19, 1997



Meeting commenced at 6:45 P.M.

Attendees: Lora Pollari-Welbes, Jennifer Porter, Roberta
Willis Sims, Gloria Sulton, Gwen Simmons, Deborah Israel,
Juli O'Reilly (by phone) and Nancy Long (by phone).

I.   Review of Minutes

     It was moved, seconded and unanimously adopted that the
January   14,   1997 minutes be approved.      Juli O'Reilly
abstained.

II. Treasurer's Report

     A copy of the Treasurer's Report given  on
1997 is attached to these Minutes. It was moved, seconded
and the motion passed unanimously to accept the Treasurer's
Report for filing. Debbie Israel indicated that Sharon Goley
spoke with Susan Stewart to obtain  investment advice   since
the  10% which was to be      invested  in the Stein Roe Fund
Capital Opportunities could not be made. It was reported   at
the January meeting that Stein Roe Capital Opportunities Fund
is not accepting new money.       Susan  Stewart  recommended
investing the 10% in the Janus Fund. It was moved, seconded
and the motion passed unanimously to accept  Susan  Stewart's
recommendation and make the     10%  investment in Janus Fund
instead of Stein Roe.

     It was suggested by Jennifer Porter that the Treasurer's
Report might contain a reflection of gains and losses by
percentage rather than or in addition to the dollar amount.

     It was noted that the Dinner Fund       is depleted   as
Foundation Board Members have not made contributions since
the last year. WBAF Directors are requested to     contribute
$50.00 to the Dinner Fund to cover costs.

III. WBA President's Remarks

     WBA President Nancy Long provided a briefing on progress
of planning and   logistics for the    1997 Annual Meeting.
Issues relating to corporate and law firm fundraising were
discussed.   President Long   indicated that the WBA      has
selected Charlene Barshefsky for the Woman Lawyer of the Year
award and Supreme Court Justice Sandra Day O'Connor   as the
recipient of the Torch Bearer Award. The WBA is pursuing the
Honorable Madeleine Albright as keynote speaker      for the
event, who has expressed     interest and preliminarily has a
clear calendar for the day  of the event.     President Long
