WBA Foundation Meeting
October 8, 1996
6:30 pm

-Attendees: Jennifer Porter (by phone), Gwen Simmons (by phone), Marjorie Reeder,
Gloria Sulton, Denise Wilson-Taylor, Saundra Brown, Nancy Long, Debbie Israel,
Sharon Goley.

Meeting commenced at 6:30 pm.

I. Review of Minutes
       'Ihe prior month's Minutes were unavailable.
11. Treasurer's Report
       Sharon Goley distributed the monthly Treasurer's Report for September, 1996.
Ms. Goley noted that she would distribute the report to absent Directors.
       Gloria Sulton moved that the Treasurer's Reports be accepted for filing as
submitted. Denise Wilson-Taylor seconded and the motion passed unanimously with two
abstentions by Jennifer Porter and Gwen Simmons.
       A discussion ensued regarding the operating account needed in anticipation of all
RWA checks for MetroTeen AIDS, etc. Treasurer Sharon Goley recommended that
WBAt move all operating account funds into the Schwab operating account, except for
that amount reasonably needed for check-wTiting between now and year-end, and that
WIBAF close the Adams account. There was further discussion as to what that amount
reasonably needed would be, with various amounts proposed.
       Gloria Sulton moved that WBAF close the Adams account, move operating funds
into the Schwab operating account, postpone all investment decisions until the Treasurer
has investigated the amount to be kept liquid and obtained investment recommendations
from Susan Stewart or other competent financial advisor; and that the Treasurer make no
further transfer of funds except for normal activity. Jennifer Porter seconded. The motion
passed unanimously.

111. Old Business.
       WBA Director Lora Pollari-Welbes is requesting nanes of bookkeepers.

IV. Ryan White Awards.
       '[he Board continued its discussions regarding the upcoming Ryan White Awards
on December 6, 1996. Arrangements and fundraising strategy were discussed. Ms.
Golev and Ms. Reeder will take the lead and make those planning steps necessary to
move this event toward reality.
       In earlier discussions there was a sense among the Board members present that
with any beneficiary there needed to be a mechanism to procure some percentage of the
event proceeds for WBAF's account. Ms. Goley and Ms. Reeder reported that WBAF
will retain 25 b of all funds raised by WBAF,'. Ms. Sulton moved that check-handling by
