                 WOMEN'S BAR ASSOCIATION FOUNDATION

                          BOARD MEETING MINUTES
                               AUGUST 1, 1995


ATTENDEES:

Martha JP McQuade, Jennifer Porter, Deborah Israel, Juliana Schulte O'Reilly, Denise
Wilson-Taylor, Grace Parke-Fremlin, Gwen Simmons, Susan Stewart and Nancy Long.

      MEETING CALLED TO ORDER WITH QUORUM at 6:42 P.M.

      I.    1994 WBAF Fundraiser

      Discussion commenced with issues set forth in Debbie Israel's july 25, 1995 memo.
      Debbie discussed her meeting with the community projects committee of the WBA
      where it was confirmed that the WBA would support the Ryan White Awards Night
      for Metro TeenAIDS including fundraising activities. Because the WBA will be
      supporting Metro TeenAIDS for a December 1, 1995 fundraising event, a potential
      conflict arises with the WBAF hosting a movie premiere fundraiser for Metro
      TeenAIDS in December as well.

      Gwen Simmons stated that she spoke with Midge Sanford, the producer of the film
      Making of an American Quilt, who indicated that the movie is currently set for a
      12/22 release date thereby pushing the date of the charity premier from the Middle
      of October or early November to the week of 12/11. In addition, Ms. Sanford
      indicated that the distributors of the film prefer the premier event to be at same
      theater in which the movie would open in D.C. Gwen also indicated that there was
      no commitment by producer to assist with event, although Ms. Sanford indicated
      that she would in devour to have one or more of the actors available for a reception.

      Denise Wilson-Taylor asked about details of the conflict, and Debbie reviewed the
      information from her memo.

      Jennifer Porter then asked if the WBAF could commit to an event on December 11,
      1995 because of time pressures with the holidays. Martha McQuade then stated
      that the WBAF committed to the movie in October or early November not to a date
      in December. Gwen Simmons confirmed that she thought the producers want a
      Christmas release for the film. Marjorie Reeder volunteered that she would not be
      available in Mid-December because she would be out of town. Gwen Simmons said
      that she too could not commit to co-chair the movie premiere if held in mid-
      December.
