                   WOMEN'S BAR ASSOCIATION FOUNDATION
                         BOARD MEETING MINUTES
                             MAY 9, 1995

 Attendees: Laura Pollari, Martha McQuade, Nancy Newkirk,
 Jennifer Porter, Gwen Simmons, Lucy Thomson,
 N. Denise Wilson-Taylor; By speaker phone: Debbie Israel,
 Juliana O'Reilly

             The minutes of the last meeting were approved with
appropriate corrections. Gwen Simmons reported that the auditors
submitted a draft bill of $ 1,915.00 and wrote off the difference
between their original bill of $ 1,650.00. Gwen noted that the
$ 260.00 difference was due to the fact that the auditors had to
make additional adjustments to the audit report, It was moved and
properly seconded that the bill be paid. Gwen also reported that as
the registered agent for the WBAF has to be a District of Columbia
resident, she (Gwen) will serve as said agent instead of Jennifer
Porter.
             Martha McQuade reported that there will be a different
caterer for the annual meeting due to the fact that the contracted
caterers are non-union. As of May 9, 1995, 950 tickets have been
sold for the meeting. A contract has been drafted for the music at
a price of $ 225.00. It was moved and seconded that the contract be
ratified, with a tip of $ 270.00 (S 15.00 for each musician).

             Debbie Israel thanked everyone for their work relative
to comedy night. The total amount received for the event to date is
$ 9,650.00. Debbie informed the Board that the Improv did collect
some cash from attendees and for this reason she will confer with
the Improv and report to the Board accordingly. Jennifer and the
Board members thanked Debbie for a successful event. Jennifer will
send thank-you letters to the restaurants for their donations.

             The following slate of candidates for the WBAF were
approved: N. Denise Wilson-Taylor, Marjorie Reeder, Gloria Sulton
and Martha McQuade. Lucy Thomson presented the slate and also
informed the Board that Becky Smith resigned. The candidates' term
will commence as of the annual meeting.
