                          MINUTES OF THE
                    WOMEN'S BAR ASSOCIATION FOUNDATION

                       BOARD OF DIRECTORS MEETING

                       Tuesday, February 9, 1999


             Those present at the Meeting were: Deb Israel, Nancy Long, Deborah Costlow,
Sandra Robinson, Juliana O'Reilly, Martha JP McQuade, and Michelle Gary, WBA President-
Elect.

       I.    Approval of Minutes: The January Minutes shall be approved at the March
Board meeting.

       II.   Treasurer's Report:

             A.     The Board approved the opening of the FMA SalomonSmith Barney
account by approving the Account Application and Client Agreement (the Resolution) and the
Resolution Naming Authorizing Officers, namely Deborah C. Cosflow, President and Sandra H.
Robinson, Treasurer to sell, assign and endorse for transfer, certificates representing stocks,
bonds, or other securities now registered or hereafter registered in the name of the WBAF (the
Resolution). The Agreement and Resolution are attached hereto and made a part of these
Minutes.
             B.     The Board authorized the Treasurer to respond to the WBA's Executive
Director's Memorandum dated February 9, 1999, and coordinate with the WBA Executive
Director to address the issues raised in the Memorandum. The Memorandum is attached hereto
and made a part of these Minutes.

             C.     Deborah Costlow informed the WBA liaison that the WBAF must be
notified of any change and/or addition to the Agreement by and between the WBAF and the
Auditor, including, but not limited to, the agreed upon fee structure. The WBA Executive
Director must keep the WBAF informed of the status of the progress of the 1997-98 Audit.

       Ill.  Nominations:

             Chair of the Nominations Committee, Juliana O'Reilly recommended that the
Board approve the acceptance of Julie Davis, Esquire as the interim replacement for Robert
Willis Simms, who resigned from the Board earlier this year. Juliana also recommended that Julie
Davis's name be submitted to the WBA with the intent that Ms. Davis be elected to a permanent
three year term as a WBAF.Board member. The Board approved the acceptance of Julie Davis,
Esquire as the interim replacement for Robert Willis Simms, and the WBAF shall submit Ms.
Davis's name to the WBA with the intent that Ms. Davis be elected to a permanent three year
