                                    MINUTES

       This transitional meeting of the WBA was called to order by President Joanne Young at
6:45 pm.

       Attending for the 2004-05 Board were President Joanne Young, President-Elect Karen
Lockwood, Treasurer Barbara Burr, Kathleen Behan, Jennifer Duane, Lisa Dunner, Angela
Fisher Jaffee, Bonnie Pinzel.

       Attending for the 2005-06 Board were President Karen Lockwood, President-elect Tracy
Durkin, Secretary Jennifer Maree, Kathleen Behan, Barbara Burr, Angela Fisher-Jaffee, Bonnie
Pinzel, and Joanne Young (ex officio).

2004-05 Board Meeting

       Ms. Young provided a summary of the Annual Dinner held May 2005, and gave her
thanks to all involved in planning and assisting with obtaining sponsorships. The dinner returned
greater revenues and a higher net to the Women's Bar Association Foundation than any previous
annual dinner of the WBA.

       I.    The minutes of the April 2005 meeting were approved unanimously on motion by
Ms. Lockwood  and second by Ms. Dunner.

       II.   The motion to accept new members presented by the Executive Director was
approved unanimously.

       III.  Executive Director's Report (Ms. Long)

       The Executive Director reported to the Board regarding ongoing matters and items for the
Board's consideration. Among others:

             A.    The Board reviewed a summary of the annual dinner revenues and
expenses. Ms. Long reported that sponsor donation were over 90% collected to date. The net
income to the Foundation, prior to final collections, was $161.105.30. This is a record result.

             B.    The Board reviewed a table of 2005 annual dinner sponsors, which
reflected significantly more Leadership and Benefactor sponsors than in the past. All amounts
yet to be collected are in an amount less than $2,000.00.
