                        BOARD   OF DIRECTORS MEETING

                                   April 3, 2006

                                   MINUTES


       The Boards of Directors of the Women's Bar Association and the Women's Bar
Association Foundation met in a joint board meeting at 6:30 p.m. In attendance were President
Karen Lockwood, Secretary Jennifer Maree, Barbara Burr, Evangeline Paschal, Amy Bess, Mary
Legg, Rebecca McNeill and Executive Director Nancy Long.

       The WBAF  Board members present were President Diane Brenneman, Secretary Jennifer
Duane, Ellen Jakovic (via telephone), Martha McQuade, Susan Kovarovics, Linda Oliver,
Consuela Pinto (via telephone), Lorie Masters, and Terri McField.

       The WBA  met together with the WBAF.

       The Boards discussed the Annual Award Dinner.

       A motion made by Jennifer Maree and seconded by Barbara Burr to approve the new
members was unanimously approved by the Board.

       The WBAF  recommended to the WBA for our approval that Narda Newby at Jack
Oleander and Karen Lockwood at Howrey be approved as new members of the Board of
Directors of the WBAF. Ms. Burr moved to approve the motion and Ms. Bess seconded the
motion, which the Board unanimously approved. President Lockwood abstained from voting.

       The WBA  went into private session, without the WBAF Board present.

       The WBA  nominations presented its slate of candidates for next year's Board and
Officers members. The Board committee approved the nominating committee's slate by email
vote.

      The Board discussed amending the constitution to increase the number of Board members
of the WBA. Ms. Burr suggested we amend the constitution to have a range of numbers of
Board members. The Board decided not to make any recommendation to amend the constitution
at this time, but may reconsider this issue at a later date.

      Ms. Long updated the Board on the status of the Judicial Nominations that were
presented to the White House and distributed copies to the Board.
