  Dear Tenant:

        This law firm represents the ownership (Landlord) of the building located at
  1717 K Street, N.W. a/k/a 1000 Connecticut Avenue, N.W., Washington, DC 20036
  (Building). Women's Bar Association of the District of Columbia (Tenant) leases
  Suite 503 (Premises) in the Building (Premises), pursuant to a Lease dated
  December  21, 2001 (Lease).

        Please note that the Lease expires on January 31, 2007 (Expiration Date).
  Pursuant to Paragraph 25 of the Lease, Tenant may only holdover after such date with
  the Landlord's prior written consent. This letter does not constitute Landlord's written
  consent for any holdover. Please also be advised that Landlord intends to demolish the
  Building in 2007; thus under no circumstances may Tenant continue to occupy the
  Premises, or any other space in the Building, following the Expiration Date.
