Exemption Practice -- The
Practitioner's     Views,   by
J. Rowland Cook, Barbara
Griffin, and Cynthia L. Degitz,
describes various issues that must
be  addressed  by  a  securities
lawyer  in connection  with  an
exempt    private  offering  of
securities. This article focuses on
the lawyer's role in determining
compliance with applicable
exemptions under  securities laws
and  regulations, in  order  to
render certain opinions regarding
the offering, and in advising the
issuer regarding the manner  of
conducting the offering so as to
satisfy conditions to exemptions.
This article also describes current
law  on  the  issue of whether
general partnership interests and
interests  in  linited  liability
companies  are securities under
the securities laws.

Securitization  of  Assets,  by
Robert R.  Veach,  Jr., presents
the concept, recent history, and
development  of securitization as
well as an overview of the various
laws applicable to, and significant
business  issues  involved   in,
securitization.   This   article
includes a  description of  the
recent initiatives of the Securities
and  Exchange  Commission  that
affect the securitization process.

1993  Annual   Meeting  of  the
Business Law Section; Nominees
for   Council  Members and
Officers. Notice is hereby given
that, in conjunction  with  the
Annual Meeting  of the State Bar
of Texas to be held in Fort Worth
on June 16-19, 1993, the Annual
Meeting  of  the Business  Law
Section will be held on Thursday,
June 17, 1993, at approximately
4:00 p.m., at the Tarrant County
Convention    Center.      The
following  persons  have  been
nominated  for election to a two-
year term,  commencing   at the
close  of   the  1993   Annual
Meeting, on  the Council of the
Business Law Section:

1993 Annual Meeting Continuing
Legal Education Program.   The
Business    Law    Section   is
sponsoring  a  continuing legal
education  program  during  the
Annual Meeting  of the State Bar
of Texas. The  program, entitled
Business    Law   Legislative
Update,   will  be   held  on
Thursday, June 17, 1993,
commencing  at 1:30 p.m., at the
Tarrant   County Convention
Center  in Fort Worth.   It will
feature    presentations    on
legislative developments in Texas
regarding   matters   affecting
business   law    practitioners.
Information  on  and forms  for
registration for the program are
included   in   the   materials
regarding  the   1993   Annual
Meeting of the State Bar of Texas
previously mailed to each member
of the Section.

of the Bulletin invites authors to
submit  for publication in  the
Bulletin any articles of interest to
members   of the  Business Law
