OF THE SECTION ON CORPORATION, BANKING & BUSINESS LAW

Vol. 21 November, 1983 No. 1

Of Current Interest ...
    Recent Developments in Bank-
ing Law. This issue contains an
update by Terry W. Connor of
Haynes & Boone in Dallas, of recent
developments in banking law.
Counsel Alert. This issue of the
Bulletin also contains another Coun-
sel Alert. This Counsel Alert outlines
the requirements of the Hart-Scott-
Rodino Antitrust Improvements Act
of 1976 to certain commercial trans-
actions.
This issue also contains a list-
ing of the membership for 1983-84 of
the Standing Committees of the Sec-
tion on Corporation, Banking and
Business Law with a brief report
by the Chairman of each Committee
of its proposed activities for the
1983-84 year. Recent legislative
proposals from certain of these
Committees will be highlighted in an
upcoming issue of the Bulletin.

This issue of the Bulletin in-
augurates a new regular feature.
CB&B Checklist will present in
outline form complete and practical
checklists covering varying aspects
of corporate, banking and business
law useful for members of our Sec-
tion. The inspiration for this new
feature comes from Michael W.
Tankersley of Hughes & Hill in Dallas.
The first checklist, prepared by Paul
S. Blencowe of Fulbright & Jaworski
in Houston, concerns open market
purchases by corporations of their
common stock.

The next issue of the Bulletin
should contain an article dealing with
recent legislative efforts by the Sec-
tion with respect to the Securities
Act of the State of Texas, an article
discussing recent developments in
the bankruptcy laws, an article out-
lining recent developments in corpo-
rate, partnership and securities laws
and another CB&B Checklist.
    Special thanks are in order
from the Section to Pandick Press of
Houston, Inc., who has agreed to
print the Bulletin for the 1983-84
year.
    State Bar Disciplinary Rules
Referendum. In January, 1984, the
membership of the State Bar of
Texas will be asked to approve a
referendum on the new proposed
Disciplinary Procedural Rules. The
members of our Section are urged to
vote in favor of this proposal. Since
51% of the members of the State Bar
of Texas must approve this referen-
dum, your vote is very important.
REMEMBER TO VOTE WHEN YOU
RECEIVE YOUR BALLOT.
    Section Membership. If any
member of the Section is aware of
any attorneys who are not currently
and who should be members of the
Section on Corporation, Banking
and Business Law of the State Bar of
Texas or who may have failed to
renew their membership in the Sec-
tion, a Membership Application is
included on the last page of this
issue of the Bulletin. It would be of

great assistance to the Section if
members would encourage their as-
sociates who practice in the corpo-
rate, banking or business law areas
to become members of the Section
and participate in one of the Sec-
tion's committees.
    The 1984 State Bar Convention
is scheduled for July 4th and 5th, in
San Antonio. Information with re-
spect to the speakers and times of
and topics for the program will ap-
pear in future issues of the Bulletin.
Members of the Section should mark
these dates on their calendars and
plan to attend the Convention and
Section meeting at the Convention.
Editor's Note: If any member of
the Section would like to contribute
an article for publication in the Bulle-
tin, or has information concern.ng an
area of current importance that
should be highlighted on the cover of
the next issue of the Bulletin, please
contact any member of the Informa-
tion Committee, Officer of the Sec-
tion or member of the Council.
