BULLETIN

OF THE SECTION ON CORPORATION, BANKING & BUSINESS LAW

Vol. 19 September, 1981 No. 1
                                                                                                      ~1

Of Current Interest . . .
   Section Dues: Please pay your
1981-82 Section dues as soon as
 possible. A notice already should
have been received by you with
your bar statement. If you are
aware of any attorneys who have
not become and should be mem-
bers of our Section or who may
have failed to renew their member-
ship in the Section, for your con-
 venience, a Membership Applica-
tion is included on the last page of
the Bulletin. It would be of great
assistance to the Section if mem-
 bers would encourage their asso-
ciates who practice in the areas of
 the Section's interest to become
 members and participate on one
 of the Section's Committees.
 Recognition was given to Bowne
 Printing Company and Fidelity
 Printing Company at the Annual
Meeting of the Section last July for
 their invaluable assistance in print-
ing this Bulletin for the last three
 years. The two Houston printing
 companies donated their services
and were prompt and efficient in
 aiding this publication. We hope
the plaques awarded to them will
be hung proudly at their offices.
 Streamlined registration under
the federal securities laws and in-
tegration of reporting requirements
was the basic thrust of a package

of proposals released for review in
August by the SEC. Any attorney
remotely involved with the securi-
ties laws should review the sweep-
ing proposals, which include a re-
duction to three of the number of
registration forms, a new Regula-
tion C, and procedures for delayed
or continuous offerings. See CCH
Fed. Sec. L. Rep. No. 926, Part II.
At the same time, the SEC has
proposed changes intended to en-
courage small business capital de-
velopment. See CCH Fed. Sec. L.
Rep. $$ 83,014-15.
   Sections 16(a) and 16(b) are
the subject of an exhaustive inter-
pretative release setting forth the
SEC staff's views on numerous
questions concerning the sections.
Attorneys for public companies
should become familiar with this
comprehensive position statement.
See CCH Fed. Sec. L. Rep. ¶
26,026.
Editor's Note: If any member of
the Section would like to contrib-
ute an article for publication in the
Bulletin, or has information con-
cerning an area of current impor-
tance to our Section members that
should be highlighted on the cover
of the next issue of the Bulletin,
please contact any member of the
Information Committee, officer of
the Section or member of the
Council.

  State Bar Dues Increase Pro-
posal: As you all are probably
aware, the State Bar is proposing
an annual dues increase and will
shortly be submitting this proposal
to its members for their approval.
The dues increase is deemed nec-
essary due to increased costs
resulting from inflationary causes
and increased membership. It is
believed by the Council of the Cor-
poration, Banking and Business
Law Section that approval of this
proposal is in the best interests of
the State Bar, this Section and its
members in order for us to achieve
and maintain the desired level of
services available to the profession
and community. For these reasons,
the Council of your Section recom-
mends that you vote for the ap-
proval of the proposed State Bar of
Texas dues increase.
